My system is getting old but still plays most games ok. E6850 duel core OC to 3.5 GHZ, 8 gig ram, Windows 7 64 and 1 GTX 295.
 
Will I see enough improvemts if I upgrade to a GTX 470 ?

no, biggest bottleneck is the dual core, pop a quad in there, and game away.
