What is the difference between
 
2gig Ram DDR 2 Corsair at 800 Mhz XMS2 overclocked for $55 additional
vs.
2 gig Ram DDR Corsair at 1066Mhz Dominator DHX (extreme Performance for $34 additiona. and not overclocked ?

From what I understand, may be wrong, but the set of 1066Mhz ram is 800Mhz just matched at the factory and rated to 1066Mhz. Not sure if I got that right but I also heard the same for the 1250Mhz sticks! All of it is 800Mhz, is this right guys?

It's speed binned. That means it's guaranteed to run at the rated speed by the manufacturer. You can overclock a lower rated RAM, but you may, or you may not achieve the speed of the more expensive memory.
